1. Scope of Agreement & Services
These Terms govern technical consulting, software development, AI engineering, and automation services provided by INTELLIFY. Specific engagements are governed by an independent Statement of Work (SOW) defining deliverables, timelines, and financial terms.
2. Intellectual Property & Code Ownership
For custom software builds, ownership of custom source code and deliverables transfers to the client upon milestone acceptance and full settlement of invoices, excluding pre-existing libraries and open-source components.
3. Delivery Methodology & Support
We deliver production-ready systems adhering to milestone-based review cycles. We document the agreed support scope, maintenance responsibilities, system monitoring, and future iteration process.
4. AI Outputs & External Dependencies
Generative AI outputs are probabilistic and may require domain review. INTELLIFY is not liable for upstream outages from third-party cloud or model providers, though we engineer resilient fallback mechanisms.
